Description
The incumbent will report to the managing director and the Board of Directors and will work closely with the Group Executive, Secretariat and Legal who is based at PPC’s head office in Sandton, SouthAfrica.
Responsibilities:
- Managing the corporate, legal and staturory affairs of the Company and Board and its sub-committees, including the audit and Risk and Renumeration Committees
- Ensurering compliance with good corporate governance practices (King Code) and advising Board appropriately
- Assisting the Group Executive, Secretariat and Legal with managing PPC Ltd’s listing on the Zimbabwe stock Exchange.
- Ensurering the effective management of a number of controlled entities (being trusts established within Zimbabwe) of the Company by representation on their Boards of Trustees
- Undertaking general commercial work, including assisting management and the Board with the negoriation and drafting of commercial contracts
- Providing the Board with legal input into the Risk Assessment and Strategic Planning processes of the Company.
- Advising the Board of potential changes to the legal landscape within Zimbabwe and the region that will affect the affairs of the Company and its stakeholders
Requirements
Qualifications
The ideal candidate will preferably possess the following qualifications and / or designations. Applications will be considered from similary qualified individuals with appropriate experience:
- An undergraduate degree in Commerce or Finance
- A post graduate LLB degree or similar
- Be a member of the Chartered institute of Secretaries.
Knowledge and Experience
- At least 10 years’ experience as a professional in a similar role in a large commercial organisation, preferably in a capital intensive industry.
- Detailed working knowledge of the King 111 Code and JSE/ZSE rules
- Extensive exposure to statute and jurisprudence in the areas of corporate law, competition law, tax law, mining law and indigenisation law.
- Extensive experience in assisting with strategic planning and risk assessment processess.
