Principal Counsel, Legal Department
Inter-American Investment Corporation (IIC)
The Boards of Governors of the Inter-American Development Bank (“IDB”) and the Inter-American Investment Corporation (“IIC”, together with the IDB, the Inter-American Development Bank Group (“IDBG”)) approved the consolidation of the IDBG’s private sector and non-sovereign guaranteed activities into the IIC, starting as of January 1, 2016. The purpose of the consolidation is to further promote the economic and social development of the regional developing member countries through the private sector, as a complement to the development work of the IDB. Under its expanded mandate, the IIC is searching for three senior attorneys for the following positions in the Legal Department:
Principal Counsel, Infrastructure & Energy Legal Team
Principal Counsel, Corporates Legal Team
Principal Counsel, Financial Markets Legal Team
The Legal Department advises IIC Management, the Board of Executive Directors and the Board of Governors on all legal matters relating to the IIC. Its responsibilities include providing legal support to the IIC’s operations, resource mobilization activities including borrowings, and all administrative and institutional matters. The Legal Department directs the IIC’s representation in litigation, arbitration, and other administrative and legal proceedings, and in matters in which the IIC may become a party or have an interest.
The Infrastructure & Energy Legal Team, the Corporates Legal Team, and the Financial Markets Legal Team provide a full range of legal support to IIC private sector and non-sovereign guaranteed operations throughout the entire transaction cycle, including origination, portfolio management and workouts. Each of the Principal Counsel will head one of the three Legal Teams referenced above and will report to the General Counsel.
Key Responsibilities
Leads and supervises the delivery of legal services in the IIC’s lending, guarantee and equity transactions and products, and technical assistance, including due diligence, structuring, negotiating, drafting, closing, portfolio administration, workouts, enforcement and restructuring of private sector and non-sovereign guaranteed transactions, with a focus on:
(i) in the case of the Infrastructure & Energy Legal Team, infrastructure and energy projects;
(ii) in the case of the Corporates Legal Team, corporate entities in the agribusiness, manufacturing, telecommunications, technology and other sectors; and
(iii) in the case of the Financial Markets Legal Team, financial institutions, funds, trade finance, capital markets and structured finance products.
Leads, manages, mentors and assesses a highly skilled, interdisciplinary and multi-cultural group of attorneys in the delivery of legal services, setting work expectations and goals, and providing timely feedback on performance and technical guidance to ensure consistent legal advice to client areas.
In coordination with the General Counsel, manages relationships with external legal counsel; supervises the selection and activities of external legal counsel retained to support on transactions in a cost-effective manner.
Provides legal support with regard to a wide range of legal, policy, procedures, administrative and institutional matters related to private sector and non-sovereign guaranteed transactions.
Provides strategic leadership on the formulation and updating of financial products, model documentation and other initiatives with a view to enhancing the delivery of legal services on transactions.
Shares knowledge within and outside the Legal Department, including through the organization of trainings, on a variety of subject matters to support the operational activities and foster the application of best practices.
Works to develop innovative, high quality and effective legal solutions that meet business needs in a timely manner.
Represents the Legal Department in management committees, meetings of the Board of Executive Directors and institutional initiatives.
Coordinates with the other Legal Teams to ensure consistency in the Department’s delivery of legal services.
Coordinates with other departments in the IIC and the IDB and leverages opportunities for synergies.
Keeps abreast of trends in legal issues and precedents across IIC member countries and makes recommendations for standardized approaches and updated strategies.
Establishes personal networks within the IIC and with external legal counsel and experts. Accesses and leverages relationships with external resources when appropriate.
Works collaboratively with other attorneys from multilateral development institutions to address broad legal issues affecting all parties.
Organizes the annual resources planning for the Legal Team, including budget, and ensures an appropriate execution throughout the year, in alignment with the IIC’s business plan and strategies.
Qualifications
Education: An advanced Law degree (Juris Doctor, LL.M. or equivalent) from an accredited law school in an IDBG member country, and admission to practice law in at least one jurisdiction in an IDBG member country.
Experience: Attorney with at least 12 (twelve) years of relevant professional legal experience, including relevant experience as a lead lawyer in private cross-border financing transactions, particularly in Latin America and the Caribbean. Must possess a strong understanding of client needs and challenges as well as deep knowledge of the legal environments within each of the different countries where the IIC conducts business. Prior experience acting in a similar role in a development bank, and an understanding of the operational frameworks of public sector and/or multilateral institutions (including their special governance, mandates, safeguards and human resources structures) highly desirable. Substantive legal experience in both common and civil law is essential.
Languages: Excellent oral and written professional proficiency in English and Spanish is required. Knowledge of Portuguese and/or French is a plus.
